Board of Directors

The Board of Directors spearheads the company's compliance with the principles of good corporate governance. The Board is responsible for fostering the long-term success and sustained competitiveness of the company, in a manner consistent with the Board's fiduciary responsibility. The Board shall conduct itself with utmost honesty and integrity in the discharge of its duties, functions and responsibilities.

	Henry Sy, Sr. Chairman HENRY SY, SR., Chairman of the Board, is the founder of the SM Group of Companies and is currently Chairman Emeritus of Banco de Oro Universal Bank Inc., Honorary Chairman of China Banking Corporation, Chairman of SM Investments Corp., SM Land Inc. (formerly Shoemart Inc.), SM Prime Holdings Inc., and Highlands Prime. Mr. Sy opened the first Shoemart store in 1958. The said store has evolved into a dynamic group of companies with four lines of business - shopping malls, retail merchandising, financial services, and real estate development and tourism.
	Henry T. Sy, Jr. Vice Chairman HENRY T. SY, JR., Vice Chairman and Chief Executive Officer. He is also the Chairman for Pico de Loro Beach and Country Club, Inc. Vice Chairman and President of SM Land, Inc., Vice Chairman for SM Investments Corporation, Belle Corporation and Highlands Prime, Inc., Director for SM Prime Holdings, Inc. and Banco de Oro Unibank, Inc. He is responsible for the real estate acquisitions and development activities of SM Group which includes the identification, evaluation and negotiation for potential site as well as the input of design ideas. He holds many key positions in the SM Group. He graduated with a management degree from De La Salle University.
	Elizabeth T. Sy Director ELIZABETH T. SY, Director. A Business Administration graduate from Maryknoll College, she is actively involved in Investor Relations for SM Prime Holdings, Inc., serving as Senior Vice President for Marketing, President and Chairman for Dessert Plus, Inc. and Treasurer for SM Investments Corp., and Director for Banco de Oro Private Bank. She is also actively involved in the SM Group's tourism and leisure business endeavors, overseeing operations as well as other marketing and real estate activities.
	Rogelio R. Cabuñag Director ROGELIO R. CABUÑAG, Director, President and Chief Operating Officer. He is the Executive Vice President and Director for SM Synergy Property Holdings Corp., Officer in Charge and Director for Belle Corp., and Director for Highlands Prime, Inc., Keppel Phils Holdings, Inc. and Tagaytay Highlands International Golf.
	Atty. Andres G. Gatmaitan Director ATTY. ANDRES G. GATMAITAN, Director, is connected with Sycip, Salazar, Hernandez & Gatmaitan as Senior Counsel. He is Chairman of the Board for Convergys Phils.
